MUTUAL CONSENT AGREEMENT

1. Parties

This Agreement is between two individuals only, identified by their ChainPass V.A.I. numbers. No platform, business, agency, employer or government body is a party. This includes VAIRIFY and ChainPass. VAIRIFY presents the Agreement in VAI-CHECK; ChainPass provides the signing method.

2. Personal capacity and personal undertaking

Each party enters and signs this Agreement solely in their individual, personal capacity, for themselves and not on behalf of any platform, business, employer, agency, government or other third party.

This applies regardless of any office, rank, title, employment, commission, appointment, badge or authority held by either party—including a judge, law enforcement officer, military officer, elected official or head of state.

Each party expressly adopts every representation, promise and obligation in this Agreement as their own personal undertaking. Neither party may characterize their signature as an act of their office, employer, agency or government, or claim that another entity made these undertakings in their place.

Each party intends to be personally bound and personally accountable for their own representations and conduct under this Agreement, to the fullest extent permitted by applicable law.

3. Representations of personal capacity

Each party represents and warrants that:

(a) they are not entering this Agreement in the course of, or as part of, any official duty, assignment, investigation or operation;

(b) they are not acting on behalf of, at the direction of, or at the request of any agency, employer or third party; and

(c) the answer recorded in their ChainPass Law Enforcement Affiliation Declaration is true and current when they sign.

Each party relies on these representations in deciding to meet.

4. Adults

Each party confirms they are at least 18 years old, or the age of majority where the meeting takes place if higher, and that their age has been verified through ChainPass for their V.A.I.

5. Free and informed agreement

Each party confirms they are meeting of their own free will; no one is threatening, pressuring, coercing or controlling them; they are not impaired to a degree that prevents understanding this Agreement or freely deciding whether to meet; and they have read and understood this Agreement.

6. Meeting and boundaries

Signing is agreement to meet, not advance consent to any activity. Any activity requires both parties’ consent at the time. Consent to one activity is never consent to another. Recorded boundaries do not replace consent at the time.

7. Withdrawal of consent

Either party may withdraw consent at any moment, for any reason or no reason, by word or action. When consent is withdrawn, the other party must stop immediately. Nothing in this Agreement establishes continuing consent after withdrawal.

8. Right to leave

Either party may end the meeting at any time and leave freely. The other party must not obstruct, restrain or prevent departure.

9. Recording

Neither party may photograph, film or record the other by audio or video without the other party’s separate, express consent given at the time.

10. Privacy and seeking help

Each party must keep the other party’s identity and meeting details private, except where disclosure is required by law or reasonably necessary to report a crime or safety concern, obtain medical care or legal advice, or seek help.

Nothing in this Agreement restricts either party’s right to report a crime, contact emergency services or seek help at any time.

11. Personal signature under the ChainPass agreement

Each party signs personally under their ChainPass V.A.I., using the signing method established by the ChainPass Electronic Signature Agreement they previously accepted.

Their affirmative acceptance and successful live facial verification constitute their V.A.I. Signature on this specific Mutual Consent Agreement, with the intent to be personally and legally bound by its terms.

Each party must select “I agree to the Mutual Consent Agreement” and complete a live facial scan that ChainPass successfully matches to the verified photograph associated with their V.A.I. A facial match alone does not sign the Agreement.

Both signatures must identify the same Agreement version, meeting and recorded boundaries. Each signature is recorded separately with its acceptance, document hash and UTC signing time. The Agreement takes effect only when both parties have signed. An expired or incomplete two-party signing transaction does not create an effective Agreement.

A change to the Agreement, meeting terms or recorded boundaries requires renewed acceptance and signatures from both parties. A completed signature cannot be transferred to altered terms.

12. Applicable law

This Agreement is governed by the State of Delaware, United States. Mandatory laws applicable to the meeting remain applicable. The governing-law provision in the ChainPass Electronic Signature Agreement governs that separate agreement; it does not select governing law for this Agreement.
