CHAINPASS ELECTRONIC SIGNATURE AGREEMENT

Complete and official.

1. Parties and purpose

This Agreement is between you and ChainPass Inc., a Delaware corporation (“ChainPass”). It establishes the electronic signing method associated with your ChainPass Verified Anonymous Identity (“V.A.I.”).

ChainPass provides this method as an independent identity provider. A platform, business or other party accepting ChainPass signatures (“Relying Party”) may rely on a completed V.A.I. Signature and its supporting record. It does not become a party to this Agreement. Each document you later sign determines its own parties, obligations and governing law.

2. What constitutes a V.A.I. Signature

A V.A.I. Signature is completed only when:

(a) the specific document is presented to you and available to read, download and retain; (b) you take an affirmative action expressly accepting that document with the intent to sign it; and (c) you complete a live facial scan that ChainPass successfully matches to the verified photograph associated with your V.A.I., and ChainPass binds that result and your acceptance to the identified document in a completed signing record.

A facial match alone is not a signature. An acceptance action alone does not complete a V.A.I. Signature. Neither a failed nor an incomplete signing attempt is recorded as a completed signature.

3. Initial signing: this Agreement and your Declaration

You first expressly accept this Electronic Signature Agreement. You then complete and expressly accept the ChainPass Law Enforcement Affiliation Declaration, including your selected answer and any supplied details.

Before the final facial scan, both documents and your declaration answer remain available for review. The final action states that you are signing both documents. By choosing that action and completing the successful live facial match, you adopt the combined acceptance-and-verification procedure as your electronic signature on each document.

ChainPass seals both documents in one completed signing transaction. Each document retains its own version, hash, acceptance record and signature association. The transaction preserves the order in which you accepted them. Neither document receives a completed V.A.I. Signature unless the required acceptance of both documents and the final facial verification succeed.

If either document or your declaration answer changes before completion, the affected document must be presented and expressly accepted again. A completed signature cannot be transferred to revised wording or a different declaration answer.

4. Your intent and legal effect

By completing a V.A.I. Signature, you intentionally sign the identified document, approve its contents and agree to its obligations. You adopt the V.A.I. Signature as your legal signature with the same force and effect as your handwritten signature, to the extent permitted by applicable law.

Your signature is made under your V.A.I. number. ChainPass associates that number with your verified identity. Displaying your V.A.I. number instead of your legal name does not, by itself, diminish the signature’s legal effect.

This Agreement establishes a signing method. It does not give advance acceptance to documents you have not separately accepted.

5. Reliance and challenges

ChainPass and Relying Parties may rely on your completed signatures and the corresponding signing records.

You agree not to deny a signature’s validity solely because it was electronic, displayed your V.A.I. number rather than your legal name, or was completed on a different accepting platform.

This provision does not attribute another user’s act to you or prevent a substantiated challenge involving impersonation, unauthorized signing, an altered document or an inaccurate signing record.

6. Security and prohibited conduct

You must not allow another user to sign under your V.A.I., perform a facial scan on your behalf, impersonate a signer, manipulate a facial scan or bypass ChainPass’s signing checks.

You must notify ChainPass immediately at security@chainpass.io if you suspect unauthorized use or compromise. ChainPass may restrict signing or suspend the credential while investigating.

Deliberate impersonation, interference or misrepresentation may result in suspension or revocation of your V.A.I. and pursuit of all remedies available under applicable law, including damages, injunctive relief, costs and legal fees where recoverable.

A compromise report does not invalidate an earlier authorized signature. Delay in reporting does not, by itself, establish that an unauthorized signature was yours.

7. Signing records and copies

For each completed signature, ChainPass maintains a tamper-evident record associating your V.A.I. with the exact document version and hash, affirmative acceptance, signing time in UTC, originating platform and facial-verification result.

For the initial two-document transaction, the record identifies both documents, their separate acceptances and the common final verification. The signed declaration record includes your selected answer and any supplied details.

The document retained for each signature must correspond to its recorded hash. A later modification requires a new acceptance and signature; the original signed record remains distinguishable from the revision.

You acknowledge that these records may be used to establish signature attribution, intent, document integrity and timing. ChainPass and Relying Parties may produce them as evidence, subject to applicable law and lawful disclosure restrictions. You can access and retain a copy of each signed document through [document access method].

8. Electronic records and consent

You consent to receive and sign electronically the ChainPass documents covered by this Agreement and later documents you expressly choose to sign using this method.

You may request a paper copy through [contact and procedure]. The applicable paper-copy fee is [fee or “no fee”]. You may withdraw electronic-record consent through [contact and procedure]. Withdrawal takes effect for future transactions upon receipt and does not invalidate earlier authorized signatures. ChainPass will discontinue electronic signing under this Agreement after withdrawal; alternative service arrangements, if available, are [describe].

You may decline to sign any future document electronically. This Agreement does not waive rights that applicable law makes nonwaivable.

To use this method, you need [supported device/browser requirements], a working camera, internet access and the ability to access and retain the PDF or HTML format used. Before signing this Agreement, you must electronically demonstrate access to that format. You must keep your designated delivery contact current through [update method]. Material changes to access requirements will be notified with the renewed consent required by applicable law.

9. Facial verification

The required facial verification is subject to ChainPass’s separately presented biometric consent and retention policy, which identifies the data collected, its uses and its retention period. You must provide any required biometric consent before the scan. ChainPass does not sell your facial data.

10. Governing law and jurisdiction

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, together with applicable federal law, including the Electronic Signatures in Global and National Commerce Act.

Any dispute arising from this Agreement shall be brought exclusively in a state or federal court located in Delaware that has jurisdiction. You and ChainPass consent to those courts’ personal jurisdiction. These provisions apply to the fullest extent permitted by applicable law and do not displace mandatory rights or jurisdiction that cannot lawfully be excluded.

11. Continuing effect

This Agreement governs subsequent V.A.I. Signatures while it remains in effect. A replacement agreement requires your express acceptance; it cannot retroactively change completed signatures. Termination, withdrawal or credential suspension does not, by itself, invalidate earlier authorized signatures or the records supporting them.

If a provision is unenforceable, the remaining provisions remain effective to the extent they can operate independently.
